Important Legal Notice
This Agreement constitutes a legally binding contract between Vendor/Partner and 10MinutesIndia. Please review carefully before proceeding with partnership.
1. Parties and Definitions
1.1 Parties
This Vendor/Partner Agreement ("Agreement") is entered into between:
10MinutesIndia
(Hereinafter referred to as "Company")
Varanasi, Uttar Pradesh β 221010
Vendor/Partner
(Hereinafter referred to as "Partner")
As specified in partnership application
1.2 Definitions
For the purposes of this Agreement:
"Services"
Shall mean the products, content, or services provided by Partner through 10MinutesIndia platform
"Commission"
Shall mean the percentage of revenue shared with Partner as specified in Exhibit A
"Term"
Shall mean the duration of this Agreement as specified in Section 7
2. Partnership Scope and Responsibilities
2.1 Partner Responsibilities
The Partner agrees to:
Quality Standards
Maintain high-quality standards for all products/services
Timely Delivery
Meet all delivery deadlines and service level agreements
Customer Support
Provide adequate customer support for Partner's products/services
Performance Reporting
Provide regular performance reports as requested
2.2 Company Responsibilities
10MinutesIndia agrees to:
Platform Access
Provide access to 10MinutesIndia platform for service delivery
Marketing Support
Provide reasonable marketing and promotional support
Payment Processing
Handle payment processing and customer billing
Technical Infrastructure
Maintain technical infrastructure and platform stability
3. Financial Terms
3.1 Commission Structure
The commission structure shall be as follows:
70%
Partner Share
Of net revenue
30%
Platform Fee
Of net revenue
Net 30
Payment Terms
Days from invoice
Specific commission rates may vary by partnership type and are detailed in Exhibit A.
3.2 Payment Process
Payments to Partner shall be made monthly within 30 days of month-end. All payments are subject to:
Tax Compliance
Proper tax documentation and compliance with Indian tax laws
Quality Standards
Adherence to quality and service level agreements
Documentation
Submission of required invoices and documentation
4. Intellectual Property
4.1 Partner IP
Partner retains all intellectual property rights to their products, services, and brand assets. Partner grants 10MinutesIndia a limited license to use Partner's IP for the purpose of promoting and delivering the Services.
4.2 Company IP
10MinutesIndia retains all intellectual property rights to its platform, technology, and brand assets. Partner receives no rights to Company IP beyond what is necessary to fulfill this Agreement.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information received from the other party that is marked as confidential or would normally be considered confidential under the circumstances. This obligation survives termination of this Agreement.
6. Data Protection and Privacy
Both parties shall comply with applicable data protection laws, including the Information Technology Act, 2000 and related rules. Partner shall implement appropriate security measures to protect customer data and shall not use customer data for any purpose beyond fulfilling this Agreement.
7. Term and Termination
7.1 Term
This Agreement commences on the Effective Date and continues for an initial term of one (1) year, unless terminated earlier in accordance with this Agreement.
7.2 Termination
This Agreement may be terminated:
Mutual Agreement
By mutual written agreement of both parties
Material Breach
By either party for material breach with 30 days notice to cure
Insolvency
Upon insolvency, bankruptcy, or cessation of business operations
8. Liability and Indemnification
8.1 Limitation of Liability
Neither party's liability shall exceed the total commissions paid or payable to Partner in the six (6) months preceding the claim. Neither party shall be liable for indirect, special, or consequential damages.
8.2 Indemnification
Partner agrees to indemnify and hold harmless 10MinutesIndia from any claims, damages, or losses arising from Partner's products, services, or breach of this Agreement.
9. Service Level Agreements
Partner shall maintain the following service levels:
Response Time
Within 24 hours for customer inquiries
Delivery Time
As specified in product/service description
Quality Rating
Maintain 4.0+ customer rating
10. Governing Law and Dispute Resolution
10.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India.
10.2 Dispute Resolution
Any disputes shall first be attempted to be resolved through good faith negotiations. Unresolved disputes shall be referred to arbitration in Varanasi, Uttar Pradesh in accordance with the Arbitration and Conciliation Act, 1996.
11. Miscellaneous
11.1 Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
11.2 Amendment
This Agreement may only be amended by written agreement of both parties.
11.3 Force Majeure
Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control.
